    Nagoya Eye Clinic (hereinafter referred to as "our clinic") strives to provide the best medical services by treating patients and their families sincerely and in response to their trust and expectations. However, some patients and their families who receive treatment, or those related to them, make demands that go beyond the bounds of common sense, or engage in verbal or physical actions that deny the dignity of our staff, violence, sexual harassment, etc., which are serious problems that lead to a deterioration of the work environment and clinical environment (these verbal and physical actions of patients and their families are called "pay harassment"). Our clinic will not tolerate pay harassment, and will take a firm stance against these nuisances in order to respect and protect the human rights of not only our staff, but also other patients and their families.

Confidentiality pledge

＿＿＿＿＿＿＿＿＿＿ (hereinafter referred to as "Party A") pledges to observe the following terms regarding confidentiality to Nagoya Eye Clinic (hereinafter referred to as "Party B").

(Definition)

Article XNUMX Confidentiality as referred to in this pledge means information that is disclosed after Party B designates it as confidential and is not available to the public, regardless of whether it is in writing, orally, or by any other means.However, this shall not apply to cases falling under any of the following items.

  1. (1) Information that was already publicly known at the time it was disclosed by Party B
  2. (2) Information that became publicly known through no responsibility of Party A after being disclosed by Party B
  3. (3) Information legally obtained from a third party without obligation of confidentiality after being disclosed by Party B
  4. (4) Information requested to be disclosed by a third party with legitimate authority

(Confidentiality)

Article XNUMX Party A shall strictly maintain confidentiality, and without the prior approval of Party B, third parties (officers and employees of Party A, businesses entrusted by Party A, lawyers, certified public accountants, tax accountants, etc. (Excluding advisors who have an advisory contract with the Company).

  1. XNUMX Party A shall not reproduce confidential documents and electromagnetic records without prior approval.
  2. XNUMX. In order to prevent the leakage of secrets, Party A shall provide documents and electromagnetic records containing secrets disclosed by Party B and duplicates created with prior approval of Party B (hereinafter referred to as "confidential information"). Appropriate measures such as storage in a lockable place must be taken.

Article XNUMX Party A shall, within the scope of the purpose, disclose confidential information to officers and employees of Party A, businesses entrusted by Party A, lawyers, certified public accountants, tax accountants, and other advisors under advisory contracts. In some cases, Party A must also maintain confidentiality for these persons under its responsibility.

(Prohibition of Use for Other Purposes)

Article XNUMX Party A shall use confidential information to the extent necessary and shall not use it for any purpose other than this business.

(Return of Confidential Information)

Article XNUMX Party A shall promptly return the confidential information to Party B on the end of the facility tour or upon request from Party B.

(Validity period)

Article XNUMX. Party A's obligations regarding confidentiality and usage restrictions set forth in this pledge shall arise from the date of disclosure of each confidential information and shall remain effective even after the confidential information is returned.

(Compensation for damages)

Article XNUMX If Party A violates this pledge, Party A shall be obligated to correct the violation.

  1. XNUMX. When Party A discloses or leaks secrets to an outside party, Party A must compensate Party B or a third party for any damage caused by this.

(principle of good faith)

Article XNUMX Party A must respect good faith and faithfully comply with this oath.

(Court of competent jurisdiction)

Article XNUMX Regarding disputes regarding this pledge, the court having jurisdiction over the location of Party B shall be the court of first instance.

(Determination of Doubts, etc.)

Article 10 Party A must consult with Party B in the event of any doubt regarding matters not stipulated in this oath or observance of this oath.
